Grievance & Pro. Standards
Grievance: Reviews ethics complaints and arbitration requests to determine if a hearing is warranted. Promote awareness and conformance to the Code of Ethics. This includes continuing education classes/seminars, new-member orientation, and scheduling speakers and sponsors for monthly meetings. All members

Plans, organizes, and staffs RPAC fund-raising events including the Annual RPAC Auction and Golf Tournament, and other various RPAC events.

Policy Statement & Confidentiality Agreement

Policy Statement

The policy of the Sanibel & Captiva Islands Association is to adhere to all laws and to encourage and insist
that members faithfully adhere to these laws at meetings and avoid even the appearance of unlawful action.
Thus, in the conduct of this meeting, there will not be any action or discussion concerning any preference,
limitation, or discrimination in regard to housing or commercial or business property based upon race, color,
sex, religion, ancestry, national origin, familial status, handicap or disability, the use of a guide animal due to
blindness or deafness, the use of support animals due to physical handicaps, or the handler or guide animals.

Likewise, there will be no action or discussion concerning the following:
The fixing, the establishment or maintenance of any rate or amount of commission or other fees for the sale,
lease or management of real estate, or the urging, recommending or suggesting, that any member or other
person adhere to any rate or amount of commission, or
The taking of any punitive action against any member or others where such action is based upon a member’s
failure or refusal to adhere to any rate or amount of commission, or
The interfering with or limiting Association members from maintaining part-time sales people or interfering
with the terms of the relationship between members and their salespeople, or the fixing, maintaining,
suggesting or enforcing any division or split of commission between selling and listing broker, or refusing to
receive, process or distribute a listing because of the rate of commission, or
The boycotting, agreeing to boycott, or threatening to boycott any person.

Confidentiality Agreement

This Confidentiality Agreement (“Agreement”) is entered into by and between all members of the
Board/Committee. The parties hereto will engage in discussions and, in some cases, make policy
decisions concerning the financial position of the Association, members’ accounts, members’ files,
future plans of the Association, Professional Standards Hearings Findings, and other confidential and
sensitive information. In order to make prudent decisions that serve the best interests of the
Association and to intelligently consider all options in making these recommendations, the parties must
discuss and evaluate confidential, sensitive, and proprietary information (”Confidential Information”).

Each member of the Board/Committee agrees to the following:
1. “Confidential Information” as used herein, shall mean all information, documentation, concepts, data
membership lists, bank records, financial records, findings from Professional Standards Hearings,
marketing analysis, financial projections, products, services, processes, software, trade secrets and
devices disclosed or made available by any of the parties hereto to any of the other parties, including
without limitation, the existence of discussions concerning the possibility of additional mergers,
consolidation, sales of assets, etc.

2. The parties acknowledge and agree that the “Confidential Information” is proprietary and may include
information that disclosure of or unauthorized use of this information may cause irreparable harm to
members or the Association.

3. Once an issue has been discussed and a final decision has been made by a majority of the
Board/Committee, all members of the Board/Committee agree to abide by and support the decision.

4. The only people with whom the parties hereto may share the Confidential Information are other
Committee members, the Association Board of Directors, the Chief Executive Officer, and CPA’s and
Attorneys for the Association.

5. No rights or licenses, expressed or implied, are hereby granted to the parties hereto by any of the
other parties under any patents, copyrights, or trade secrets as a result of or related to this Agreement.

6. The restrictions and obligations of this Agreement shall survive any termination, cancellation or
expiration of this Agreement and shall continue to bind the parties hereto and their successors and
assigns.

7. This Agreement may be executed in any number of counterparts, all of which together shall be an
original.

We the undersigned members of the Sanibel & Captiva Islands Association of REALTORS® and/or
Sanibel & Captiva Islands Real Estate Guide agree to be bound by the confidentiality terms of the
foregoing Confidentiality Agreement.
